General terms of business

1. General

All work and services provided or rendered by viliv cosmetics AG for the customer are subject solely to these General Terms of Business, with diverging terms valid only if they have been agreed in writing between viliv cosmetics AG and the customer. By placing the order, the customer expressly acknowledges these General Terms of Business.

2. Contract closure

Only persons aged 18 years or older and who are of unrestricted legal capacity at the time of contract closure may enter into the contract with viliv cosmetics AG. We sell only in commercial quantities. The Internet offers by viliv cosmetics AG are a non-binding offer to the customer to order goods from the Online Shop. By ordering products of the Online Shop in the Internet, the customer delivers a binding offer to conclude a contract of purchase and sale.

3. Delivery

If available ex stock and as long as stocks last, all articles will be delivered without delay and provided that the identity and credit standing check is satisfactory for viliv cosmetics AG. Deliveries are made both inside Switzerland and to EU countries, other countries upon request. If an articles is not immediately available, we will at the earliest possible point in time notify the customer via e-mail of the expected time of delivery, provided we have the customer's address. We reserve the right to make partial deliveries if this serves to handle the aggregate delivery in an efficient manner. In such case no extra shipping charge will be due for subsequent deliveries. In the event of delays in delivery, e.g. caused by force majeure, transport disruptions, governmental action or other events outside the control of viliv cosmetics AG, no claims for damages may be made against viliv cosmetics AG.

4. Packaging and shipment of goods

Deliveries to destinations in Switzerland and the EU are free of shipping charges; other countries upon request.

5. Prices

5.1 All prices quoted are end prices including the statutory value added tax of currently 7.7%.
5.2 The end prices include the costs and charges for packaging and shipment within Switzerland and Germany
5.3 If updates are made to the Internet pages of the Online Shop, prior details relating to price and quality of the goods are no longer valid. Details subject to errors and misprints.
5.4 The price shown at the time the customer makes his offer is the price appearing on the invoice.
5.5 Customs duties and sales tax on goods shipped to EU countries abroad are to be paid by buyer. In such case the goods are delivered free of value added tax and the prices quoted are excluding customs duty and sales / value added tax.

6. Payment

by credit / debit card:

Euro/Mastercard, Visa, Post Finance (Switzerland), Pay Pal

by cash on delivery (C.O.D.):

The customer is under the obligation to pay the purchase price upon receipt of the goods consignment. Any additional charges for postal operations for delivery with cash on delivery are to be paid by the customer.

by cash in advance:

The customer is under the obligation to pay the purchase price after contract closure without delay, at the latest within 10 (ten) days by remittance to our account. If you pay cash in advance, we will send you an e-mail with the exact invoice details. Please enter your e-mail address into the order form to allow us to contact you. If the customer fails to remit the purchase price after 10 (ten) days, viliv cosmetics AG reserves the right to cancel the order and to offer the goods again for sale.

7. Warranty for defective goods

7.1 The customer's claims against viliv cosmetics AG arising from a defect in the goods are defined by statutory provisions.
7.2 The customer undertakes to inspect the goods for any defects immediately upon receipt of the goods and to notify viliv cosmetics AG immediately of such defect. If the customer finds at a later point in time that the goods are defective, he is obliged to notify viliv cosmetics AG thereof immediately upon discovery of the defect. If the customer fails to give notice of defect, the goods are deemed to be approved and accepted.
7.3 Any damage caused by the customer by improper handling or treatment contrary to the terms of the contract is not deemed to a defect in the goods. The details given by the manufacturer of the goods are authoritative for determining improper handling and treatment contrary to the terms of the contract.
7.4 The period of warranty is the minimum durability printed on the products. It begins at the time the product is opened.
7.5 If the customer finds that the goods have been damaged in transport, the recipient of the goods must immediately notify the carrier (shipment service). Notice of any other identifiable transport damage must be given to us in writing within 10 (ten) days after receipt of the goods. Failure to give notice of defects has in this case no detrimental effects on the customer's statutory claims.

8. Exemption clause

Claims for damages against us are ruled out unless they rest on our wilful or grossly negligent conduct or that of our vicarious agent. The period of limitation for claims for damages is three years and begins on the date the action giving rise to the claim for damages has occurred. If the statutory periods of limitation result from case to case in shorter periods of limitation, such shorter period applies. The liability for warranties attached irrespective of culpability.

9. Jurisdictional forum

Unless provided otherwise by law, jurisdictional forum is at the registered offices of viliv cosmetics AG. Any disputes which may arise from this legal relationship are governed by Swiss law excluding the norms of collision. The UN Law on the International Sale of Goods is ruled out.

10. Scope of the General Terms of Business

By placing his order, the customer acknowledges the General Terms of Business of Haut AG. If any provision of these General Terms of Business is null and void for whatever reason, the remaining provisions remain in full force and effect. Such ineffective provision is to be replaced forthwith by the pertinent statutory provision. To be effective, verbal agreements must be confirmed in writing.
